Probrand Supernova Partner Portal User Agreement

1. Purpose of this agreement

1.1 The business data that is made available in the Partner Portal is strictly confidential information not to be shared with any unauthorised users of the portal. Please read and review the below terms and conditions.

1.2 The purpose of this document is to clarify the relationship between Probrand Ltd (“Probrand” – the Service Provider) and the third-party organisation (referred to as the Vendor/Distributor) and to outline the policy and procedures that must be adhered to when Users’ from the Vendor access the Portal.

1.3 It is the company policy that all reasonable and practical steps will be taken to ensure compliance with all local, regional, national and international legislation in relation to product service lines engaged in by Probrand. Therefore it is equally the duty of all suppliers to conform to this provision and carry out their responsibilities accordingly.

2. Portal services

Probrand is the service provider hosting the Partner Portal.

3. Use of the System

This service is offered to Vendor/Distributor Users, who by electronic acceptance, agree to the terms and conditions within this document.

4. Privacy Policy

We recognise the need for privacy as you visit this site, and are committed to protecting your security and privacy. We will only use any information learned about you in an ethical way and in accordance with the relevant UK data protection legislation.

5. Acceptable Use Policy

Any security breaches should be reported by email to Probrand Customer Service Desk in the first instance, they can be contacted at purchasing@probrand.co.uk

All users must:

5.1 Only access the system using organisational emails accounts. Personal emails accounts are not permitted (eg. Hotmail, Gmail, Google Mail);

5.2 Only access the system from workstations (desktops or laptops) that connect to the internet via a firewall;

5.3 Keep passwords and access codes secure and confidential and should not share them with others;

5.4 Maintain confidentiality of commercially sensitive information in line with normal commercial operating procedures.

All users must:

5.5 Copy, modify or reproduce details of this Partner Portal;

5.6 Use the system for any illegal purposes;

5.7 Make inappropriate use of information;

5.8 Issue any publicity or marketing communications in connection to the Partner Portal;

5.9 Disclose “Confidential Information” which means: the terms of this Agreement and all information obtained via the Partner Portal and which should reasonably be regarded as being confidential information of Probrand and/or its customers and suppliers.

Defined Terms

Portal - Means the website hosted by the Supplier on which the Vendor and Users can access the software

Service Provider - The Service Provider is Probrand Ltd.

User(s) - Member of staff of Vendor that has been given permission to access vendor Portal.

Vendor - Means the organisation that has entered into a contractual agreement with Probrand in order to obtain a range of vendor services including access for its staff to the Partner Portal.
